Important notice. By accessing and using apex-dna.com in any capacity, and by checking the mandatory acceptance checkbox at checkout, you irrevocably agree to be bound by these General Terms of Use (CGU), our General Terms and Conditions of Sale (CGV), and our Privacy Policy. If you do not agree, you must immediately cease using this site.

1. Acceptance and Binding Effect

Access to and use of apex-dna.com constitutes your full and unconditional acceptance of these Terms of Use. The acceptance checkbox required at checkout constitutes a legally binding electronic signature under Swiss law (Federal Act on Electronic Signatures, ZertES) and international equivalents. By checking this box, you acknowledge that you have read, understood, and irrevocably accepted all provisions of these Terms, the CGV, and the Privacy Policy, with no reservation or qualification whatsoever.

2. Eligibility and Legal Capacity

By using this site you represent and warrant that: (a) you are at least 18 years of age; (b) you have full legal capacity to enter into binding contractual obligations in your jurisdiction; (c) your access and use of this site does not violate any applicable law or regulation; (d) all information you provide is truthful, accurate, and complete. If you are using this site on behalf of a legal entity, you additionally represent that you are duly authorised to bind that entity. Minors and persons without legal capacity are strictly prohibited from accessing this site or placing any order.

3. Nature of Products — Collector's Items Only

Mandatory declaration. All cannabis seeds available on apex-dna.com are sold exclusively as collector's articles and botanical heritage specimens, for genetic preservation, scientific documentation, and cultural heritage purposes only. They are not intended for germination or cultivation where prohibited by applicable law. APEX DNA makes no representation, warranty, or assurance regarding the legality of any use of these seeds in any specific jurisdiction. The buyer bears sole and exclusive responsibility for verifying and complying with all laws applicable in their country, region, and jurisdiction of destination before placing any order, receiving any shipment, or taking any other action.

4. Buyer's Irrevocable Declaration and Legal Responsibility

By placing any order on apex-dna.com, you irrevocably declare, represent, and warrant that:

You have independently and thoroughly verified the laws applicable in your country, region, and any transit jurisdictions regarding the importation, possession, and any other use of cannabis seeds.
You are purchasing the seeds in full compliance with all applicable laws and regulations.
You assume the sole, entire, and irrevocable legal, administrative, civil, and criminal responsibility for all consequences arising from the importation, reception, possession, transport, or any other use of the ordered products.
You expressly waive any right to bring any legal action, claim, complaint, or proceeding of any nature against APEX DNA, Apex Web Media, their directors, officers, employees, or agents in connection with the nature or intended use of the products, customs seizures, or any legal consequence arising from your jurisdiction's laws.
APEX DNA's role is limited exclusively to that of a seller of collector's items; you assume the character of an informed adult professional acting under your own initiative and full legal responsibility.

5. Acceptable Use and Prohibited Conduct

You agree not to:

Use this site for any unlawful purpose or in any manner that violates applicable laws or regulations;
Copy, scrape, crawl, harvest, reproduce, distribute, or publicly display any content from this site without prior written consent from Apex Web Media;
Take screenshots, screen recordings, or any other reproduction of site content for commercial or public use;
Misrepresent your identity, age, location, or legal status;
Attempt to bypass age verification, authentication, or any other security measures;
Engage in reverse engineering, decompilation, or disassembly of any part of the site;
Introduce viruses, malware, or any other harmful technology;
Attempt to gain unauthorised access to any systems, databases, or accounts;
Resell, transfer, or supply products or access to minors or persons without legal capacity;
Use automated systems, bots, or scripts to access the site or place orders;
Defame, harass, or impersonate APEX DNA, Apex Web Media, or any third party.

6. Intellectual Property

All content on apex-dna.com — including but not limited to texts, genetic variety names, breeding documentation, genealogy data, the interactive lineage tree, photographs, graphic design, trademarks, logos, source code, and databases — is the exclusive property of Apex Web Media and/or its licensors, and is protected by Swiss and international intellectual property law (LDA, CO, LPM, and applicable international conventions). No content may be reproduced, distributed, modified, adapted, publicly displayed, or used in any derivative work without the prior express written consent of Apex Web Media. Any unauthorised use constitutes an infringement of intellectual property rights and may give rise to civil and criminal liability. The APEX DNA name and logo are protected trademarks. Any use, imitation, or association with these marks without written authorisation is strictly prohibited.

7. Privacy and Personal Data

The collection and processing of personal data submitted through this site are governed by our Privacy Policy, which forms an integral part of these Terms of Use. By using this site, you consent to the processing of your personal data as described therein. Apex Web Media processes personal data in accordance with the Swiss Federal Act on Data Protection (nFADP / LPD), and where applicable, the European General Data Protection Regulation (GDPR/RGPD).

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: This site and all products are provided "AS IS" and "AS AVAILABLE", without any warranty of any kind, whether express, implied, statutory, or otherwise. Apex Web Media expressly disclaims all warranties, including without limitation: (a) any implied warranty of merchantability, fitness for a particular purpose, or non-infringement; (b) any warranty that the site will be uninterrupted, error-free, secure, or free of viruses; (c) any warranty as to the accuracy, completeness, or currency of any information on the site; (d) any warranty as to the germination potential, viability, potency, or any characteristic of seeds sold as collector's items. Some jurisdictions do not allow the exclusion of certain implied warranties, in which case the foregoing exclusions apply only to the extent permitted by law in your jurisdiction.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Apex Web Media, APEX DNA, and their respective directors, officers, employees, contractors, agents, partners, and licensors shall not be liable for any: (a) indirect, incidental, special, consequential, punitive, or exemplary damages; (b) loss of profits, revenue, data, goodwill, business, or reputation; (c) damages resulting from customs seizure, postal or courier losses, import prohibitions, or any act of any governmental or regulatory authority; (d) damages resulting from force majeure events; (e) damages arising from your use of products in violation of applicable law; (f) damages arising from third-party claims resulting from your actions or omissions.

In any event, the total aggregate liability of Apex Web Media for any claim arising out of or related to these Terms or your use of the site or products shall not exceed the amount actually paid by you for the specific order giving rise to such claim. The parties acknowledge that this limitation of liability reflects a reasonable allocation of risk and is an essential element of the agreement between the parties.

10. Indemnification

You shall indemnify, defend (at Apex Web Media's option), and hold harmless Apex Web Media, APEX DNA, and their respective directors, officers, employees, contractors, agents, successors, and assigns from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, costs, and expenses (including without limitation reasonable attorney's fees, court costs, and settlement costs) arising out of or relating to: (a) your use of this site or any products purchased thereon in violation of applicable law; (b) any breach of these Terms of Use, the CGV, or the Privacy Policy; (c) any misrepresentation made by you, including as to your age, location, or legal capacity; (d) any third-party claim arising from your actions, omissions, or conduct; (e) any violation of any third-party rights, including intellectual property rights; (f) any customs, fiscal, legal, or administrative consequences arising from your importation or use of the products. This indemnification obligation shall survive termination of these Terms and any transaction.

11. Customs, Import, and Shipping

You acknowledge and accept that: (a) international shipments of collector seeds may be subject to customs inspection, duties, taxes, and import regulations that vary by country; (b) APEX DNA ships from Switzerland in discreet, neutral packaging and complies with Swiss export regulations; (c) APEX DNA cannot be held responsible for seizures, delays, losses, or damage caused by customs authorities, postal services, carriers, or any third party during transit; (d) you are solely responsible for ensuring that importation and receipt of the products is lawful in your jurisdiction and for paying any applicable import duties and taxes; (e) no refund or replacement shall be provided for orders seized by customs authorities.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, epidemic, pandemic, war, acts of terrorism, civil unrest, government action, customs seizure, postal or carrier disruptions, or failure of telecommunications or internet networks. Force majeure events shall not excuse payment obligations already incurred.

13. Governing Law, Exclusive Jurisdiction, and Waiver of Class Actions

Exclusive governing law: These Terms of Use, and any dispute, controversy, claim, or proceeding of any nature arising out of or in connection with them (including non-contractual disputes), are governed exclusively by the substantive laws of Switzerland, without regard to its conflict of law principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Exclusive jurisdiction: You irrevocably and unconditionally submit to the exclusive jurisdiction of the civil courts of the Canton of Fribourg, Switzerland. You expressly waive any right to commence, participate in, or benefit from any proceedings in any other court or jurisdiction, whether on grounds of jurisdiction, inconvenient forum, or any other basis.

Individual proceedings only: Any dispute must be brought on an individual basis. You expressly waive any right to bring or participate in any class action, collective action, consolidated proceeding, or representative action against Apex Web Media or APEX DNA.

14. Severability, Entire Agreement, and Survival

If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, while preserving the parties' original intent as far as possible. The remaining provisions shall continue in full force and effect. These Terms of Use, together with the CGV and the Privacy Policy, constitute the entire agreement between you and Apex Web Media concerning your use of apex-dna.com and supersede all prior and contemporaneous agreements, representations, and arrangements. Any provision that by its nature should survive termination (including without limitation Articles 4, 6, 9, 10, 13, and 14) shall survive the termination or expiry of these Terms.

15. Modifications

Apex Web Media reserves the right to modify, update, or replace these Terms of Use at any time, at its sole discretion. Material modifications will be notified by updating the "Last updated" date at the top of this page. Your continued access to or use of apex-dna.com following the posting of any modification constitutes your irrevocable acceptance of the modified Terms. If you do not agree with any modification, your sole remedy is to cease using the site immediately.
